• Property Developers and Property Owners: Access to a global network of real estate and sales professionals to market properties to their client base.
• Real Estate Professionals and Sales Professionals: Access to commission-paying property listings from property developers and property owners.
• Real Estate Investors and Buyers: Access to detailed property data on for-sale properties listed by developers and marketed by real estate or sales professionals.

2. Eligibility and Requirements

• Minimum Age: All users must be at least 18 years of age to use the Blockdeed platform.
• Real Estate and Sales Professionals: Must hold relevant qualifications and have a minimum of two years of experience in their respective industries.
• Property Developers and Owners: Must be the property owner or hold a legal mandate or bidding agreement to sell the property listed on the platform.

3. Intellectual Property and Acceptable Use

All content included on the Website, unless uploaded by Users, is the property of BLOCKDEED Ltd, our affiliates, or other relevant third parties. In these terms, "Content" means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code, and any other form of information capable of being stored in a computer that appears on or forms part of this Website.

By continuing to use the Website, you acknowledge that such Content is protected by copyright, trademarks, database rights, and other intellectual property rights. 6. Fees and Commissions

Blockdeed operates with the following fee structure:

• Monthly Subscription: Users pay a monthly subscription of £10 to access international deal flow on the platform.
• Commission Split: For successful sales, there is a 90%/10% commission split, with 90% paid to the real estate professional or sales professional introducing the buyer, and 10% retained by Blockdeed Ltd.
• Commission Information:  Full commissions are displayed alongside each property listing on the search page and under financials on each property page. The amounts shown are before all fees any taxes.

7. Disclaimer of Guarantees and Limitation of Liability

Blockdeed strives to provide accurate property information; however, we cannot guarantee that all information is completely accurate or that property transactions will be successful. Blockdeed has a 20% interest in commission payments for completed sales, and we take reasonable steps to facilitate successful transactions. However:

• Blockdeed is not liable for the accuracy of property information or data presented on the platform.
• Blockdeed does not guarantee the success of property transactions or the payment of commissions.
• Other users on the platform may introduce potential buyers, and commissions are paid to the first qualified professional to introduce a successful buyer.

8. Availability of the Website and Disclaimer

The Website and its services are provided "as is" and "as available" without warranty of uninterrupted availability or freedom from errors or viruses. Users are responsible for their own security and personal data protection.

9. Account Suspension and Termination

Blockdeed reserves the right to suspend or terminate accounts at our discretion if a user is found to have violated these Terms or engaged in fraudulent or unethical behavior, including but not limited to:

• Providing false information about property listings;
• Engaging in spam, harassment, or other disruptive behavior;
• Attempting to mislead or deceive other users on the platform.

10. Limitation of Liability

Nothing in these terms limits or excludes liability for death or personal injury from negligence, fraud, or fraudulent misrepresentation. Blockdeed Ltd is not liable for any indirect or consequential loss arising from the platform, including:

• Loss of profits, income, business opportunities, or goodwill;
• Loss or corruption of data;
• Any special, indirect, or consequential damages.

Blockdeed’s maximum liability shall not exceed the total amount paid by the user for services, if any, on the platform.

11. General Terms

• These terms and conditions constitute the entire agreement between you and Blockdeed Ltd regarding the use of our services.
• You may not transfer any of your rights under these terms. Blockdeed may transfer its rights without impacting your rights.
• No third party shall have the right to enforce or rely on any provision of these terms.
• If any part of these terms is deemed invalid by a competent authority, the rest of the terms shall remain enforceable.
• These terms are governed by the law of England and Wales, and any disputes shall be resolved exclusively in English and Welsh courts.
